These Terms of Service (“Terms”) govern your access to and use of officebase.ai and related products and services provided by OfficeBase (“OfficeBase,” “we,” “us,” or “our”). By accessing or using our website or services (the “Services”), you agree to be bound by these Terms. If you do not agree, you may not use the Services.

OfficeBase provides automated call handling, communication, and workflow services designed to help businesses manage inbound demand.

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws, regulations, and industry requirements.

You may not:
   • Use the Services for illegal, fraudulent, or abusive activity
   • Attempt to reverse engineer, copy, or misuse the platform
   • Interfere with or disrupt system performance or security
   • Use the Services to violate the rights or privacy of others

To access certain features of the Services, you may be required to create an account.

You are responsible for:
   • Maintaining the confidentiality of your login credentials
   • All activity that occurs under your account
   • Providing accurate, current, and complete information

OfficeBase is not responsible for unauthorized access resulting from your failure to secure your account credentials.

By using the Services, you acknowledge that:
   • Calls, messages, or interactions may be recorded, transcribed, or processed as part of service delivery
   • You are responsible for complying with applicable call recording, consent, and notification laws
   • OfficeBase acts solely as a service provider and does not offer legal or compliance advice

You are solely responsible for configuring the Services in accordance with applicable local, state, and federal regulations.

Certain features of the Services may require payment.

By purchasing a subscription or paid service, you agree to:
   • Pay all applicable fees as described at the time of purchase
   • Provide valid billing and payment information
   • Authorize recurring charges where applicable

All fees are non-refundable unless otherwise stated in writing.
OfficeBase reserves the right to update pricing with reasonable notice.

The Services may integrate with or rely on third-party platforms, tools, or providers.

OfficeBase is not responsible for:
   • The availability or performance of third-party services
   • Data practices or policies of third parties
   • Issues caused by third-party outages, changes, or limitations

Your use of third-party services is governed by their respective terms.

All software, content, systems, designs, trademarks, and materials provided through the Services are the property of OfficeBase or its licensors.

You may not:
   • Copy, distribute, modify, or create derivative works
   • Use OfficeBase branding or trademarks without permission
   • Exploit the Services beyond their intended use

Access to the Services is granted on a limited, revocable, non-transferable basis.

Any non-public information disclosed through the Services, including during demos, onboarding, or support interactions, must be treated as confidential.

You agree not to disclose or misuse confidential information belonging to OfficeBase or other users.

The Services are provided on an “as is” and “as available” basis.

OfficeBase disclaims all warranties, including but not limited to:
   • Uninterrupted or error-free operation
   • Accuracy or reliability of automated outputs
   • Any specific business, revenue, or performance outcomes

Use of the Services is at your own risk.

To the maximum extent permitted by law, OfficeBase shall not be liable for:
   • Indirect, incidental, special, or consequential damages
   • Loss of profits, revenue, data, or business opportunities
   • Service interruptions or system failures

OfficeBase’s total liability shall not exceed the amount paid by you to OfficeBase in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless OfficeBase from any claims, damages, losses, or liabilities arising from:
   • Your use of the Services
   • Your failure to comply with these Terms
   • Your violation of applicable laws or regulations

OfficeBase may suspend or terminate your access to the Services at any time if you:
   • Violate these Terms
   • Misuse or abuse the platform
   • Create legal, security, or operational risk

You may stop using the Services at any time. Termination does not relieve you of any payment obligations incurred prior to termination.

We may update these Terms from time to time. Any changes will be posted on this page with an updated “Last updated” date.

Continued use of the Services after changes constitutes acceptance of the revised Terms of Service.

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
